1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Barnacle AI platform ("Service"), operated by Barnacle Innovation Ltd ("we", "us", "our"), a company registered in England and Wales (company number 15143064).

By accessing or using the Service, you confirm that you have been authorised by your organisation to use the Service and that you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Access and Registration

The Service is invitation-only and restricted to authorised users. Access is granted by your organisation's administrator or by Barnacle Innovation Ltd directly. You agree to:

  • Provide accurate information during registration
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorised access to your account
  • Not share your account credentials with any other person

We reserve the right to suspend or terminate access at any time, with or without cause, particularly where these Terms are breached.

3. Use of the Service

You agree to use the Service only for its intended purpose and in accordance with applicable laws. Specifically, you shall not:

  • Use the Service for any unlawful, harmful, or fraudulent purpose
  • Upload content that is illegal, defamatory, or infringes third-party rights
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Interfere with the operation of the Service or impose an unreasonable load on our infrastructure
  • Use automated tools (bots, scrapers) to access the Service without prior written consent

4. Content and Intellectual Property

4.1 Your Content

You retain ownership of any files, documents, and data that you upload to the Service ("Your Content"). By uploading content, you grant us a limited licence to process, store, and display Your Content solely for the purpose of providing the Service to you and your organisation.

4.2 Our Intellectual Property

The Service, including its design, software, algorithms, and branding, is owned by Barnacle Innovation Ltd and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

4.3 AI-Generated Content

The Service incorporates artificial intelligence features that generate responses, summaries, and analysis. AI-generated content is provided for informational purposes and should not be treated as professional advice. You are responsible for reviewing and verifying any AI-generated content before relying on it.

5. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.

Where we process data on behalf of your organisation, we do so as a data processor under the terms of our data processing agreement with your organisation.

6. Confidentiality

You acknowledge that the Service and any content accessed through it may contain confidential information belonging to your organisation or its clients. You agree to treat all such information confidentially and not disclose it to unauthorised parties.

7. Availability and Support

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. We may perform maintenance, updates, or modifications that temporarily affect the Service. We will endeavour to provide reasonable notice of planned downtime.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Service is provided "as is" and "as available" without warranty of any kind, whether express or implied.
  • We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
  • Our total aggregate liability shall not exceed the amount paid by your organisation for the Service in the twelve months preceding the claim.
  • We are not liable for the accuracy, completeness, or reliability of AI-generated content.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by English law.

9. Indemnification

You agree to indemnify and hold harmless Barnacle Innovation Ltd from any claims, damages, or expenses arising from your breach of these Terms or your misuse of the Service.

10. Termination

Your access to the Service may be terminated:

  • By your organisation's administrator at any time
  • By us, if you breach these Terms
  • Upon expiry or termination of the agreement between Barnacle Innovation Ltd and your organisation

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall continue in effect.

11. Changes to These Terms

We may revise these Terms from time to time. We will notify affected users of material changes via the Service or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
